Welcome to Measurely Pro. By accessing or using our AI-powered painting estimator platform, you agree to be bound by these Terms of Service. Please read them carefully.

1. Agreement to Terms

By creating an account or using Measurely Pro, you agree to comply with and be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our platform.

2. Description of Service

Measurely Pro is a Software-as-a-Service (SaaS) platform that provides AI-powered estimating tools for painting contractors. Our service includes:

• AI analysis of floor plans to detect rooms and calculate dimensions
• Automated painting estimate generation
• PDF export with your company branding
• Estimate management and storage
• Email delivery of estimates to clients

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use Measurely Pro. By using our platform, you represent and warrant that you meet these requirements.

4. Account Registration

To use Measurely Pro, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Not share your account credentials with others
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

5. Subscription Plans and Billing

Free Plan

• $0/month forever
• 3 estimates per month
• No credit card required

Pro Plan

• $50/month or $450/year
• Unlimited estimates
• Up to 3 team members included
• Full feature access

Billing Terms

• Subscriptions are billed in advance on a monthly or annual basis
• All payments are non-refundable except as required by law
• Annual plans are non-refundable after 30 days from purchase
• You may cancel your subscription at any time
• Cancellations take effect at the end of the current billing period
• We reserve the right to change pricing with 30 days notice to existing subscribers

6. Acceptable Use

You agree NOT to:

• Use the platform for any illegal purpose or in violation of any laws
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble our software
• Scrape, copy, or extract data using automated means
• Resell or redistribute our service without authorization
• Use the platform to spam or harass others
• Impersonate another person or entity
• Share your account with others outside your organization

7. Intellectual Property

Our Content

Measurely Pro and all content, features, and functionality (including but not limited to software, AI models, designs, text, graphics, and logos) are owned by us and protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain all ownership rights to the floor plans, estimates, and client data you upload or create ("Your Content"). By using our service, you grant us a limited license to:

• Process your floor plans with our AI to generate estimates
• Store your estimates and project data on our servers
• Display your content back to you within the platform

We do not claim ownership of your content and will not use it to train our AI models or for any purpose other than providing you with our service.

8. AI Accuracy and Limitations

While our AI technology is designed to provide accurate estimates, you acknowledge that:

• AI-generated measurements may not be 100% accurate
• Accuracy depends on the quality of the floor plan provided
• You are responsible for reviewing and verifying all estimates before sending to clients
• We recommend conducting site visits to confirm measurements
• Measurely Pro is a tool to assist your estimating process, not replace professional judgment

We are not liable for any errors in AI-generated estimates or any losses resulting from inaccurate measurements.

9. Warranty Disclaimer

MEASURELY PRO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• That the service will be uninterrupted, error-free, or secure
• That results obtained from the service will be accurate or reliable

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEASURELY PRO AND ITS AFFILIATES WILL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Lost profits, revenue, data, or business opportunities
• Errors or inaccuracies in AI-generated estimates
• Any damages resulting from your use of or inability to use the service

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Measurely Pro and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the platform
• Your violation of these Terms
• Your violation of any rights of another party
• Estimates you provide to your clients

12. Data Security and Backup

While we implement security measures to protect your data, you acknowledge that:

• No internet transmission is completely secure
• You are responsible for maintaining backups of critical data
• We are not liable for data loss or breaches beyond our reasonable control

13. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with advance notice
• Experience unplanned downtime due to technical issues
• Temporarily suspend service to address security concerns

We are not liable for any losses resulting from service interruptions.

14. Termination

By You

You may cancel your account at any time through your account settings. Cancellation takes effect at the end of your current billing period.

By Us

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in fraudulent activity
• Fail to pay subscription fees
• Use the service in a way that harms us or other users

Upon termination, your right to use the service ceases immediately. We will delete your data within 90 days unless required to retain it by law.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the platform. Your continued use of Measurely Pro after changes are posted constitutes acceptance of the new Terms.

16. Changes to Service

We reserve the right to modify, suspend, or discontinue any part of our service at any time with reasonable notice. We are not liable for any modifications, suspensions, or discontinuations.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

18. Dispute Resolution

Any disputes arising from these Terms or your use of Measurely Pro shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Measurely Pro regarding your use of the platform.
